Except as provided herein, all digital images are provided “as is” and are without warranty of any kind and Uniworld hereby disclaims all warranties either express or implied, including, but not limited to, the implied warranty of merchantability, of fitness for a particular purpose. Uniworld will not be liable for any special, direct, indirect, compensatory, consequential, exemplary, incidental or punitive damages of any kind resulting from Licensees use of the digital images.

Licensee agrees not to trademark, copyright or patent any digital image without the prior express written consent of Uniworld.

Licensee will not alter, in any fashion whatsoever, any of the digital images received from Uniworld.

Licensee shall defend, release, indemnify and save and hold harmless Uniworld, its officers, agents and employees from any and all claims, damages, demands, liabilities, losses, actions, suits, costs, expense, legal fees, judgments, causes of action, or other legal, equitable or administrative proceeding of any kind whatsoever, of or by anyone whomsoever, regardless of the legal theory(ies) upon which premised, which in any way result from, are connected with, or arise out of, directly or indirectly, the actions or omissions of Licensee in connection with the use of any Uniworld digital image.

Nothing contained in this License shall be construed as granting or conferring any rights except as provided herein.

The terms of this License agreement shall be governed by the laws of the state of California and venue for any permitted action arising out of or related to this License or the conduct of the parties hereunder shall only be Los Angeles County, California, and the parties hereby waive any objection to such venue.
